1. Acceptance of Terms
These Terms & Conditions ("Terms") govern the use of the Void Studios website (voidstudios.co.in) and the engagement of Void Studios ("we", "us", "our") for web development, design, and digital marketing services. By using this website or engaging our services, you ("client", "you") agree to be bound by these Terms. If you do not agree, please do not use this website or our services.
2. Services
Void Studios provides web development, UI/UX design, 3D/WebGL development, SEO, digital marketing, graphic design, social media management, and WhatsApp chatbot integration services. The exact scope, deliverables, and timeline for any project will be set out in a separate written proposal, quotation, or agreement between Void Studios and the client, which forms part of these Terms.
3. Project Engagement & Payments
- Projects begin only after the client has approved the proposal/quotation and paid the agreed advance amount.
- Payment schedules (advance, milestone, and final payments) will be specified in the project proposal or invoice.
- Work on a project may be paused if payments are not received as per the agreed schedule.
- All prices are exclusive of applicable taxes unless stated otherwise.
- Refunds, where applicable, will be assessed on a case-by-case basis depending on work already completed.
4. Intellectual Property
Upon full and final payment, ownership of the final deliverables (website code, design files, and content created specifically for the client) transfers to the client, unless otherwise agreed in writing. Void Studios retains the right to:
- Showcase completed work in its portfolio, website, and marketing materials, unless the client requests confidentiality in writing.
- Reuse general frameworks, code snippets, and design methodologies that are not unique or proprietary to the client's project.
Any third-party assets used (fonts, stock images, plugins, libraries) remain subject to their own respective licenses.
5. Revisions & Delivery
The number of revision rounds included in a project will be specified in the proposal. Additional revisions beyond the agreed scope may be chargeable. Delivery timelines are estimates and may be affected by delays in client feedback, content, or approvals.
6. Hosting, Maintenance & Third-Party Services
Where Void Studios sets up hosting, domains, or third-party integrations on the client's behalf, the client is responsible for ongoing renewal costs of such services unless a maintenance package has been separately agreed upon. Void Studios is not liable for downtime or issues caused by third-party providers (hosting companies, domain registrars, payment gateways, etc.).
7. Limitation of Liability
Void Studios will make reasonable efforts to deliver quality work but does not guarantee specific business outcomes (such as search rankings, traffic, or sales) as these depend on factors outside our control. Void Studios' total liability for any claim arising from a project is limited to the amount paid by the client for that specific project.
8. Confidentiality
Both parties agree to keep confidential any non-public business information shared during the course of the engagement and not to disclose it to third parties without prior written consent, except where required by law.
9. Termination of Services
Either party may terminate an ongoing project engagement with written notice. In the event of termination, the client will be liable to pay for all work completed up to the date of termination, and any advance paid for undelivered work will be adjusted or refunded as applicable, at Void Studios' discretion.
10. Website Use
All content on this website (text, graphics, logos, and design) is the property of Void Studios unless otherwise stated, and may not be copied or reproduced without permission. You agree not to misuse this website, attempt unauthorized access to its systems, or use it for any unlawful purpose.
11. Governing Law
These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms or services provided shall be subject to the exclusive jurisdiction of the courts in Kolkata, West Bengal.

Internal Policy
Employee Terms & Conditions
These terms apply to all individuals engaged by Void Studios as employees, contractors, or commission-based representatives (collectively, "employees").
1. Nature of Engagement
Employment or engagement terms (role, compensation structure, remote/on-site status, and duration) will be specified individually in the employee's offer letter or engagement agreement. These general terms apply in addition to those specific terms.
2. Code of Conduct
- Employees are expected to act professionally, honestly, and in the best interest of Void Studios and its clients at all times.
- Employees must not misrepresent Void Studios' services, pricing, or capabilities to clients or prospects.
- Respectful communication is required in all internal and client-facing interactions.
3. Confidentiality & Data Protection
Employees must keep confidential all client information, business strategies, pricing structures, and internal processes of Void Studios, both during and after their engagement. Client data (contact details, leads, project information) must not be used for personal purposes or shared with any third party.
4. Ownership of Work
Any code, designs, content, leads, or other work product created by an employee in the course of their engagement with Void Studios belongs exclusively to Void Studios or its clients, as applicable, and may not be reused, resold, or claimed by the employee independently.
5. Performance Review
Performance may be reviewed periodically, particularly during any initial performance-based or probationary period specified in the employee's offer letter. Continued engagement, transition to a fixed compensation structure, or renewal is subject to satisfactory performance during this period.
6. Warnings & Termination
Void Studios follows a progressive warning system for conduct or performance issues:
- Employees will be issued a warning (verbal or written) for conduct, performance, or policy violations.
- An employee who receives three (3) warnings will be terminated from their role at Void Studios.
- Warnings will generally be communicated in writing (email or message) so there is a clear record.
- Void Studios reserves the right to terminate an engagement immediately, without prior warnings, in cases of serious misconduct — including but not limited to fraud, breach of confidentiality, harassment, or misrepresentation to clients.
- An employee may resign from their role by providing written notice as specified in their offer letter or engagement agreement.
7. Compensation
Compensation (commission-based, fixed salary, or a hybrid structure) will be as specified in the employee's individual offer letter. Any transition between compensation structures (e.g., from a commission-based period to a fixed salary) will be mutually discussed and confirmed in writing before it takes effect.
8. Remote Work Expectations
Employees engaged on a remote basis are expected to remain reasonably available during agreed working hours, meet assigned targets or deliverables, and maintain regular communication with their reporting manager or team.
9. Dispute Resolution
Any disputes arising out of an employee's engagement with Void Studios will first be addressed through internal discussion. If unresolved, such disputes will be subject to the laws of India and the exclusive jurisdiction of the courts in Kolkata, West Bengal.
10. Acknowledgement
By accepting an offer of engagement with Void Studios, the employee acknowledges that they have read, understood, and agreed to these Employee Terms & Conditions in addition to the specific terms outlined in their offer letter.
